Effective as of the date of your purchase

These Terms of Service (“Terms”) govern your access to and use of services, subscriptions, software, and digital products (“Services”) offered by Brainovo, LLC. (“Brainovo,” “we,” or “us”) via our website at brainovo.com or through invoice. By purchasing or accessing our Services, you agree to be bound by these Terms. If you are purchasing on behalf of an organization, you represent that you are authorized to do so. If you do not agree to these Terms, do not complete your purchase or access our Services.

1. Orders and Payment

1.1 Orders. An “Order” means any purchase made via our website or invoice. Access to Services begins when we receive full payment, unless otherwise specified.

1.2 Fees. You agree to pay all applicable fees as listed at checkout or in the invoice. Fees are in U.S. dollars.

1.3 Non-refundable. All payments are non-refundable unless otherwise stated in writing by Brainovo.

1.4 Auto-Renewal. For subscription-based Services, you authorize recurring billing unless canceled prior to your renewal date. By selecting the Annual Plan (paid monthly), you agree to a 12-month minimum term. The plan renews automatically for successive 12-month terms unless you give notice before the renewal date. To cancel, email getsupport@appmeetup.com before the next billing cycle.

1.5 Late Payments. If any undisputed payment is more than 7 days overdue, we may suspend access to Services until the balance is paid. A late fee of 1.5% per month (or the maximum allowed by law) may apply.

2. Access and Use

2.1 License. Brainovo grants you a non-exclusive, non-transferable, non-sublicensable license to use the Services for internal business purposes only.

2.2 Authorized Users. You are responsible for all activity under your account and ensuring only authorized users access the Services.

2.3 Restrictions. You agree not to:

  • Share login credentials.

  • Resell, sublicense, or commercially exploit the Services.

  • Use Services for unlawful, deceptive, or infringing purposes.

  • Attempt to reverse engineer, interfere with, or overload our systems.

2.4 User-Uploaded Content. If you upload your own video content, you represent and warrant that:

  • You are the owner or have rights to upload and use the content.

  • Your content does not infringe any third-party rights.
    We reserve the right to remove content that violates these Terms or applicable law, and you are solely responsible for any claims arising from your uploaded content.

2.5 Use of AI Features. When using Brainovo’s AI tools (including AI chat or content generation):

  • You acknowledge that AI is not a substitute for human judgment.

  • Outputs may contain errors, omissions, or hallucinations.

  • You are responsible for evaluating, verifying, and using AI-generated content.

  • You may not use AI features to generate misleading, harmful, or illegal content.

  • AI may process your inputs for de-identified training and improvements—Brainovo disclaims liability for your use of AI-generated content.

3. Intellectual Property

3.1 Ownership. Brainovo retains all rights, title, and interest in the Services, including software, AI models, content, updates, and all associated intellectual property.

3.2 User Content. You retain ownership of your uploaded or generated content, but grant Brainovo a limited license to use it to provide the Services.

3.3 AI Output. Unless otherwise agreed in writing, you own any AI-generated content produced using our tools. Brainovo disclaims all liability for your use of such content.

3.4 Feedback. Any feedback you provide may be used by Brainovo without obligation or compensation to you.

4. Confidentiality and Data

4.1 Confidentiality. Both you and Brainovo agree to keep each other’s confidential information secure and only use it in connection with delivering or receiving Services.

4.2 Privacy. Your data will be processed in accordance with our Privacy Policy. By using our Services, you agree to this Policy.

5. Termination

5.1 Termination for Breach. Either party may terminate this agreement if the other materially breaches it and fails to cure the breach within 30 days.

5.2 Effect of Termination. Upon termination, your license to use the Services ends immediately. Any outstanding payments remain due.

5.3 Survival. Sections related to fees, confidentiality, intellectual property, disclaimers, AI limitations, and limitations of liability will survive termination.

6. Disclaimers and Limitations

6.1 Disclaimer. Services are provided “as is” without warranties of any kind, except as expressly stated. Brainovo does not guarantee the accuracy of AI-generated outputs.

6.2 Limitation of Liability. Brainovo’s total liability for any claim shall not exceed the amount you paid in the 12 months prior to the event giving rise to the claim.

7. General Terms

7.1 Modifications. We may update these Terms from time to time. Your continued use of our Services signifies acceptance of revised Terms. Updates will be posted at brainovo.com/terms.

7.2 Governing Law. These Terms are governed by the laws of the State of Texas, USA. All disputes will be resolved in the courts located in Travis County, Texas.
